Terms of Service
These Terms of Service (“Terms”) govern access to and use of onclarity.ai (the “Site”) and related services provided by OnClarity, PBC (“OnClarity”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Eligibility
You must be at least 18 years old and authorized to act on behalf of any organization you represent.
2. The Service
The Site is a marketing presence describing the OnClarity product. The product itself, when generally available, is provided under a separate written agreement that supersedes these Terms with respect to the product. Information on this Site is provided for general informational purposes.
3. Not legal or medical advice
OnClarity is a software tool. Content on the Site, including any examples, summaries, or generated text, is not legal advice, medical advice, or a substitute for the independent judgment of a licensed clinician, attorney, or compliance officer. You are responsible for any decisions you make based on information from the Site.
4. Acceptable use
You agree not to: (a) submit unlawful, infringing, or harmful content; (b) attempt to access non-public areas of the Site; (c) interfere with or circumvent the Site's security or rate limits; (d) use automated means to scrape or collect content beyond what is permitted by our robots.txt; (e) impersonate another person or organization.
5. Intellectual property
The Site, including its design, copy, and code, is owned by OnClarity or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for its intended purpose.
6. Submissions
If you submit feedback or suggestions, you grant OnClarity a non-exclusive, royalty-free, perpetual license to use that feedback for any business purpose. We will not associate the feedback publicly with you without your permission.
7. Third-party services
The Site may transmit information you provide to third-party services (for example, Loops.so for email). Use of those services is subject to the providers' own terms.
8. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ONCLARITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SITE. ONCLARITY'S AGGREGATE LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You agree to indemnify and hold harmless OnClarity from any claims arising out of your breach of these Terms or your unlawful use of the Site.
11. Termination
We may suspend or terminate your access to the Site at any time and for any reason, including if we believe you have violated these Terms.
12. Governing law
These Terms are governed by the laws of the State of [STATE] without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in [COUNTY], [STATE].
13. Changes
We may update these Terms. Continued use of the Site after the effective date constitutes acceptance of the updated Terms.
